Please read these terms of service (“terms”, “terms of service”) carefully before using the pbthru.com website (the “site”, “service”, “PBT” ) operated by Project BreakThru (“us”, “we”, “our”). Do not agree to the Terms unless you fully understand and accept every provision. By using the Site, you represent and warrant that you understand, accept, and agree to all the terms and conditions contained within these Terms. In order to agree to these Terms we require you to be either A) 18 or older, or have your parent or guardian’s consent to agree to these Terms. AND B) Have the power to enter into a binding contract with PBT and not be barred from doing so under any applicable laws. 

We will provide our services to you, which are subject to the conditions stated below in this document. Every time you visit this website, use its services or make a purchase, you accept the following conditions. This is why we urge you to read them carefully.


1. General Terms

Project BreakThru provides this site to Users seeking to obtain Mentorship, Users seeking to become Mentors, and Users seeking to access our network and all it’s provided services. The term “you” or “You” or “User” or “Users” shall refer to Students, Mentors or any person or entity who views, uses, accesses, or browses any content on, and/or creates, uploads, posts, sends, receives or stores content to the Site.

These Terms are entered into by and between Project BreakThru and you, and you accept them by: (a) accessing or viewing the content of the Site; (b) contracting for mentoring through the Site; (c) registering as a mentor (d) creating a profile on the site (e) using the Site in any other manner; and/or (e) acknowledging agreement with these Terms. If you do not agree to these Terms do not use the Site.

If anything in or related to the Site conflicts with or is inconsistent with these Terms, the Terms shall control. In the case that a provision of the Terms is held invalid by local law or regulation of any government, or by any court or arbitrator, the parties will agree that such provision(s) shall be replaced with new provision(s) that accomplish the original purpose, and all other provisions will remain in full effect.

2. Privacy Policy

Before you continue using our website we advise you to read our privacy policy regarding our user data collection. It will help you better understand our practices.

3. Services

This Site offers a Databank of Mentors for individuals who are seeking mentoring (“Mentee”, “Mentees”). As independent businesses and operators who are engaged by individuals seeking mentoring services, Mentors decide and are responsible for and control the methods, frequency, channels, means, and scheduling for the mentoring that they provide. In addition, Mentors and Mentees mutually define the goals and parameters of the mentoring. Mentors agree to provide mentoring for a period of no shorter then six months or a date of termination which has been mutually agreed upon between Mentor and Mentee.

Project BreakThru will provide optional paid services that will assist Users in selecting an appropriate Mentor for their professional and personal goals. Project BreakThru, nor any Mentor operating on the PBT website, will make any promises or guarantees about Mentee or User acceptance into professional schools or programs of higher education, including medical school. Any promises made guaranteeing user acceptance into medical school by a mentor shall be considered invalid and a violation of the terms of service of this website.

Users are are responsible for ensuring that their mentor is a good match for their professional goals. Users should review each Mentors credentials and background as well as reviews from other Users.

Users under 18 should obtain permission from a parent or guardian before registration of an account or use of PBT services. Users under 18 are required to accept these terms upon turning 18 as a requirement for continued usage of the site.

4. Academic Honesty

Project BreakThru provides this site for those seeking to advanced professional degrees. As such, it holds its users to high moral and professional standards. This site will not be used to facilitate cheating or the sharing or materials to further academic or professional dishonesty as defined by this site or a user’s home academic institution. An example would be a Mentor taking an exam for another user. It is up to PBT’s sole discretion as to any violations of this policy. Any violations of this policy will result in up to and including suspension from the site, termination of the user’s account, and reporting of the user’s behavior to their home institution(s). No refunds for services will be given to Users who violate this provision.

5. Copyright

Content published on this website (digital downloads, images, texts, graphics, logos) is the property of Project BreakThru and/or its content creators and protected by international copyright laws. The entire compilation of the content found on this website is the exclusive property of Project BreakThru, with copyright authorship for this compilation by Project BreakThru.

In order for us to make User Content you contribute available on the Site for use by other Users, operations, marketing, and promote of PBT we need the right to make use of such User Content in accordance with and subject to this agreement.

Users retain all ownership of original content which they have created and posted on PBT forums, groups, blogs, chat rooms, and so forth and grant PBT an irrevocable, perpetual, non-exclusive, transferable, fully-paid, royalty-free, worldwide license to copy, republish, distribute, print, excerpt User testimonials, success stories, profiles, images, pictures, links, forum content, Mentor Reviews, and school acceptance / admissions in any media or expression in the manner in which PBT uses and to license or permit others to do so. 

6. Communications

The entire communication with us is electronic. Every time you send us an email or visit our website, you are going to be communicating with us. You hereby consent to receive communications from us. If you subscribe to the news on our website, you are going to receive regular emails from us. We will continue to communicate with you by posting news and notices on our website and by sending you emails. You also agree that all notices, disclosures, agreements and other communications we provide to you electronically meet the legal requirements that such communications be in writing.

7. Obligations and Behavior

No individual under the age of 13 is permitted to use the services, submit content, or create a profile on the site.

All Users must: (a) be of legal age and have the capacity to agree to these Terms on their own behalf or on behalf of the minor(s) who will be using the site; (b) provide information about themselves that is current, complete, and accurate as required during registration; (c) maintain the security of any password and all identification information used to access the Site; (e) maintain and promptly update the Registration Data and any information you provide to Project BreakThru, keep it accurate, current and complete; (f) not share their account with other users; and (f) accept all risks of unauthorized access to information and Registration Data. 

As a User you are fully and entirely responsible for content created, posted, uploaded, stored, sent, shared, linked, or received through your use of the Site (“Content”). Users shall not create, upload, post, send, receive or store Content that: (a) is inaccurate, misleading, political, harmful, obscene, pornographic, racist, defamatory, conspiratory, violent, offensive, harassing, inconsistent with the Project BreakThru mission or vision or otherwise objectionable to Project BreakThru or other Users; (b) includes unauthorized disclosure of personal information including but not limited to home addresses, phone numbers, or personal email; (c) violates or infringes any individual’s or corporation’s intellectual property rights; or (d) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. Project BreakThru reserves the right to edit or remove Content which violates these Terms, or which contains third-party commercial advertisements, or for any other reason it deems appropriate and necessary.

Project BreakThru does not knowingly collect or solicit information for anyone under the age of 13. Project BreakThru also does not knowingly allow a person under the age of 13 to create an account for the Service. In the event Project BreakThru is informed that data is collected from a user under the age of 13 without parental consent, we will delete that information as quickly as possible and terminate the account. 8. Conduct

Project BreakThru is a professional mentoring and community network. As such we have expectations of the behavior of our Users. All Users must use the site in a manner which is lawful, appropriate, and specific to the proper forum. PBT retains the right to suspend, remove, or terminate, without notice, any use of the site in a manner PBT finds inappropriate, offensive, or in violation of our conduct policies. Specific examples of violations of conduct include, but are not limited to:

  • Insult, Harass, Abuse, Dox, Defame, Threaten, Spoof, Impersonate, Stalk, Troll, Mock or otherwise violate the legal rights (without limitation to the rights of privacy and publicity) of others;
  • Political, conspiratory, racist, or any other off-topic or inflammatory purpose that threatens Project BreakThru’s ability to function as a safe space for users to advance their professional and personal goals is not allowed;
  • Use the groups or forums for engaging in discussions or solicitations unrelated to the group’s purpose or unrelated to the topics of mentoring, medical school, and professional development;
  • Impersonation of any other of the site’s users is prohibited;
  • Obscene, sexual, personal, inappropriate, unprofessional, or unwanted communication;
  • Any attempt to bypass the PBT marketplace for the selling or reimbursement of mentorship is prohibited. This provision shall not restrict entirely uncompensated and free mentoring. Failure to abide by this provision will result in the loss of user account(s) and forfeiture of earnings;
  • Advertisement of goods or services in any non-approved channel, group, message, forum or other area;
  • Any use of the site that violates local, state, national, or international law;
  • Creation of account or accounts on the Site for purposed of fraud or for the misuse of the Site, including without limitation misappropriating the Site or any information on the Site for your own commercial or pecuniary gain;
  • Uploading of files that contain software or other content that violates the rights of any third party, including without limitation intellectual property rights or rights of privacy or publicity;
  • Upload files that contain viruses, ransomware, worms, Trojan horses, time bombs, spiders, cancel bots, corrupted files, or any other malicious software, malware or damaging content that may interfere with, disrupt, impair, disable or otherwise overburden the operation of any device, computer system or network;
  • Any action that would undermine any aspect of the Site;
  • Attempt to hack, spoof, gain unauthorized access to the Site, other User accounts, or any other device, or computer system or networks connected to the Site;
  • Spamming of the site is strictly prohibited;
  • Any attempt to evade banning or deletion of an account as a result of punitive action from PBT will result in deletion and banning of new and subsequent accounts;
  • Ripping, Downloading, or any other duplication, copy, or reproduction of materials from the site.

9. Business Transaction Terms

Users must abide by BreakThru’s Mentoring and Mentee payment policies. Users must pay all costs associated with services through BreakThru. These costs include but are not limited to: (a) a matching fee as listed; (b) a membership fee as listed; (c) a price of goods as listed in the store; (d) a service fee as listed and (e) the DataBass Matching Fee arranged between BreakThru and the Mentor.

10. Posts, Comments, Reviews, and Emails

Visitors may post content as long as it is not obscene, illegal, defamatory, threatening, infringing of intellectual property rights, invasive of privacy, injurious in any other way to third parties or in violation of any aspect of these terms and conditions. Content has to be free of software viruses, political campaign, and commercial solicitation.

We reserve all rights (but not the obligation) to remove and/or edit such content.


11.
Termination, suspension, bans, and silences

Project BreakThru reserves the right to ban, silence, suspend, and/or terminate any User with or without notice for any or no reason, at any time, at its sole discretion. You agree that, if you are suspended and/or terminated, you will make no further use of the Site after termination or during suspension. Appeals to terminations, suspensions, bans, or other punitive action can be by emailing pbthru@gmail.com 


12. Applicable Law

By visiting this website, you agree that the laws of the New Jersey, USA, without regard to principles of conflict laws, will govern these terms of service, or any dispute of any sort that might come between Project BreakThru and you, or its business partners and associates.

Project BreakThru does not directly conduct background checks of any User. PBT neither confirms nor denies the validity of information provided by Users and PBT has no obligation to verify that any or all of the Eligibility Conditions are met by Users.

13. License and Site Access

We grant you a limited license to access and make personal use of this website. You are not allowed to download or modify it. This may be done only with written consent from us.


13. User Account

If you are an owner of an account on this website, you are solely responsible for maintaining the confidentiality of your private user details (username and password). You are responsible for all activities that occur under your account or password.

We reserve all rights to terminate accounts, edit or remove content and cancel orders in their sole discretion.


14. Advertisements and Promotions

Project BreakThru may run advertisements and/or promotions and/or provide affiliate links from third parties on the Site. Any business, correspondence, association participation, or dealings with third parties, found on or through PBT, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. Project BreakThru is not liable or responsible for any sort of loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such third party advertisers on the Site.

 

15. Disclaimer of Warrant(ies)

USE OF THE PROJECT BREAKTHRU SITE AND/OR SERVICES IS AT YOUR SOLE RISK UNLESS OTHERWISE EXPLICITLY STATED. THE SITE, INCLUDING THE INFORMATION, SERVICES, AND CONTENT, IS PROVIDED ON AN “AS IS”, “WITH ALL FAULTS”, AND “AS AVAILABLE” BASIS. PROJECT BREAKTHRU DISCLAIMS ALL IMPLIED OR EXPRESS CONDITIONS, REPRESENTATIONS, AND WARRANTIES OF ANY KIND, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE. PROJECT BREAKTHRU MAKES NO REPRESENTATIONS, CONDITIONS, GUARANTEES, OR WARRANTIES AS TO THE USEFULNESS, QUALITY, SUITABILITY, TRUTH, ACCURACY, OR COMPLETENESS OF THE SITE. PROJECT BREAKTHRU MAKES NO GUARANTEES OF FUTURE ADMISSION INTO THE EDUCATIONAL PROGRAM OR CAREER OF YOUR CHOICE. 

 

PROJECT BREAKTHRU MAKES NO WARRANTY OR REPRESENTATIONS THAT: (A) THE SITE WILL BE SECURE, TIMELY, UNINTERRUPTED, OR ERROR-FREE; (B) THE INFORMATION OR RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE WEBSITE WILL BE ACCURATE OR RELIABLE; (C) THE INFORMATION OBTAINED FROM THE SITE WILL HELP IN THE PASSING OF EXAMS OR WITH THE ENTRANCE INTO A PROFESSIONAL SCHOOL PROGRAM; (D) ANY ERRORS IN THE SITE WILL BE CORRECTED; OR THAT THE SERVICES ARE APPROPRIATE FOR USE OR ACCESS OUTSIDE OF THE UNITED STATES; (E) THE QUALITY OF ANY PRODUCTS, SERVICES, CONTENT, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED FROM MENTORS OR MENTEES OR OTHER SITE USERS WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS. 

YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR DEVICE OR LOSS OF DATA THAT RESULTS FROM OBTAINING ANY CONTENT FROM THE SITE, INCLUDING ANY DAMAGES RESULTING FROM COMPUTER VIRUSES.

16. LIMITATIONS OF BREAKTHRU’S LIABILITY

PROJECT BREAKTHRU OFERS A SOCIAL NETWORK, MENTORING DATABASE, AND COMPANY MARKETPLACE FOR WHOM ARE THOSE SEEKING MENTORSHIP TO CONNECT WITH THOSE WHOM ARE SEEKING TO PROVIDE MENTORING.

BY USING THE SITE AND/OR AGREEING TO THESE TERMS YOU UNDERSTAND AND AGREE THAT PROJECT BREAKTHRU HAS NO CONTROL OVER THE ACTS OR OMISSIONS OF ANY USER ON OR OFF THIS SITE AND THAT PROJECT BREAKTHRU MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE QUALITY OF ANY SERVICES PROVIDED BY ANY USER. YOU UNDERSTAND AND AGREE THAT PROJECT BREAKTHRU IS NOT RESPONSIBLE OR LIABLE FOR THE PERFORMANCE OR CONDUCT, WHETHER ON OR OFF THE SITE, OF ANY USER. AS SUCH, PROJECT BREAKTHRU EXPRESSLY DISCLAIMS, AND EACH USER EXPRESSLY RELEASES PROJECT BREAKTHRU FROM, ANY AND ALL LIABILITY WHATSOEVER FOR ANY CONTROVERSIES, SUITS, INJURIES, CLAIMS,  MISREPRESENTATIONS, AND/OR DAMAGES ARISING FROM AND/OR IN ANY WAY RELATED TO THE SITE, INCLUDING WITHOUT LIMITATION ANY ACTS AND/OR OMISSIONS OF USERS ON OR OFF THE SITE.

 

USERS OF THE SITE AND/OR USERS ENGAGING IN MENTORING SERVICES TRANSACT BETWEEN THEMSELVES. PROJECT BREAKTHRU WILL NOT BE INVOLVED IN ANY USER INTERACTIONS BEYOND INITIAL PAID MATCHING OF MENTORS AND MENTEES. PROJECT BREAKTHRU WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY MENTOR MATCHING THAT OCCURS BETWEEN USERS. PROJECT BREAKTHRU IS NOT RESPONSIBLE FOR DISPUTES, CLAIMS, LOSS, INJURY, OR DAMAGE OF ANY KIND THAT MIGHT ARISE DURING AND AFTER USER INTERACTION.

 

TO THE FULL EXTENT PERMITTED BY LAW, PROJECT BREAKTHRU IS NOT LIABLE FOR ANY PUNITIVE, DIRECT, INDIRECT, INCIDENTAL, SPECIAL,  CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF BUSINESS, REVENUE, PROFITS, GOODWILL, USE, DATA, ELECTRONICALLY TRANSMITTED ORDERS, OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF OR IN CONNECTION WITH THE SITE, EVEN IF PROJECT BREAKTHRU HAS PREVIOUSLY BEEN ADVISED OF, OR REASONABLY COULD HAVE FORESEEN, THE POSSIBILITY OF SUCH DAMAGES, HOWEVER THEY ARISE, WHETHER IN TORT OR BREACH OF CONTRACT (INCLUDING NEGLIGENCE), INCLUDING WITHOUT LIMITATION DAMAGES DUE TO: (A) THE COST OR PROCUREMENT OF SUBSTITUTE GOODS AND/OR SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED, OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH OR FROM THE SITE; (B) THE USE OF OR THE INABILITY TO ENGAGE IN THE USE THE SITE; (C) THE COST OF GOODS AND SERVES PROCURED AS A RESULT OF ADVICE AND/OR INFORMATION PROVIDED BY USERS OF THE SITE; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE, INCLUDING WITHOUT LIMITATION UNAUTHORIZED ACCESS TO OR ALTERATION OF TRANSMISSION OR DATA, MALICIOUS OR CRIMINAL BEHAVIOR, OR FALSE OR FRAUDULENT TRANSACTIONS; OR (E) CONTENT, MISINFORMATION, OR INFORMATION USERS MAY DOWNLOAD, USE, MODIFY, OR DISTRIBUTE. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. AS SOME JURISDICTIONS DO NOT ALLOW ANY EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN NO EVENT SHALL PROJECT BREAKTHRU’S TOTAL LIABILITY TO YOU FOR ALL LOSSES, DAMAGES, AND CAUSES OF ACTION, WHETHER IN TORT, CONTRACT, (INCLUDING BUT NOT LIMITED TO, NEGLIGENCE) OR OTHERWISE, EXCEED (A) THE AMOUNT PAID BY YOU TO BREAKTHRU OR A PROJECT BREAKTHRU PARTNER, IF ANY, OR (B) A PROJECT BREAKTHRU MENTOR, (C) $50 (WHICHEVER IS LESS).

 

YOU AND PROJECT BREAKTHRU AGREE THAT THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THESE TERMS ARE MATERIAL, BARGAINED-FOR BASES OF THIS AGREEMENT, AND THAT THEY HAVE BEEN TAKEN INTO ACCOUNT IN DETERMINING THE CONSIDERATION TO BE GIVEN BY EACH PARTY UNDER THIS AGREEMENT AND IN THE DECISION BY EACH PARTY TO ENTER INTO THIS AGREEMENT. YOU AND BREAKTHRU AGREE THAT THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THESE TERMS ARE FAIR AND REASONABLE.

 

IF YOU ARE DISSATISFIED WITH THE SITE OR DO NOT AGREE TO ANY PROVISIONS OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE, EXCEPT AS MAY BE PROVIDED FOR IN THIS SECTION 16.


17. Disputes

Binding Arbitration:
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration. The arbitration shall be conducted by an dependent arbitrator secured by PBT and the parties shall be bound by any and all rules of the arbitration and any award/decision rendered. Any decision or award as a result of any such arbitration proceeding shall be in writing and shall provide an explanation for all decisions. Any such arbitration shall be conducted by a legal experienced arbitrator and shall include a written record of the arbitration hearing. An award of arbitration may be confirmed in a court of competent jurisdiction.

 

18. Disclaimer of Medical Advice

You understand and acknowledge that all users of this website are responsible for their own medical care, treatment, and oversight. All of the content provided on the website, including text, dosages, treatments, outcomes, profiles, charts, graphics, photographs, advice, images, messages, mentoring, classes, events, forum postings, and all other content are for informational purposes only and DOES NOT CONSTITUTE THE PROVIDING OF MEDICAL ADVICE and is not intended to be a substitute for independent professional medical judgment, advice, diagnosis, or treatment, even when given by a mentor, medical student, or resident physician.

The content is not intended to establish a standard of care to be followed by a user of the website. You understand and acknowledge that you should always directly seek the advice of your physician or other qualified health provider with any questions or concerns you may have regarding your health.
